1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the websites, systems, portals, applications, and services operated by SYMMA Solutions (“SYMMA,” “we,” “us,” or “our”).

By accessing, registering for, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.

SYMMA Solutions provides distribution, logistics, technology-enabled services, and related platforms, including but not limited to:

  • Customer and vendor portals

  • Ordering, invoicing, and fulfillment systems

  • Operational communications and notifications

  • Authentication and account management tools

Services may change, evolve, or be discontinued at any time at our discretion.

3. User Accounts & Access

Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activity that occurs under your account

  • Ensuring information provided is accurate and current

You agree to notify SYMMA immediately of any unauthorized access or suspected security breach.

Account Types

Accounts may include:

  • Internal users (employees or contractors)

  • Vendor portal users

  • Customer or partner users

Access levels and permissions are determined solely by SYMMA.

4. Authentication & Single Sign-On (SSO)

SYMMA Solutions supports authentication through third-party providers such as Google and Microsoft.

By using SSO:

  • Authentication is handled by the third-party provider

  • SYMMA does not store or manage your third-party passwords

  • You agree to comply with the provider’s applicable terms and policies

SYMMA reserves the right to disable or restrict authentication methods at any time for security or operational reasons.

5. Acceptable Use

You agree not to:

  • Use the services for unlawful or unauthorized purposes

  • Attempt to gain unauthorized access to systems or data

  • Interfere with system performance, security, or availability

  • Upload or transmit malicious code or harmful content

  • Misrepresent your identity or authority

SYMMA may suspend or terminate access for violations of these Terms.

6. Vendor & Customer Obligations

Vendors and customers agree to:

  • Use portal access only for authorized business purposes

  • Maintain accurate business, billing, and contact information

  • Comply with all applicable laws and contractual obligations

  • Protect any confidential or proprietary information accessed through SYMMA systems

Portal access does not grant ownership of any SYMMA systems or data.

7. Orders, Billing, and Payments

All orders, pricing, invoices, and payment terms are governed by:

  • Applicable agreements

  • Purchase orders

  • Invoices

  • Written confirmations

SYMMA reserves the right to correct errors, refuse orders, or suspend services for non-payment or disputes.

8. SMS & Electronic Communications

By providing contact information, including a mobile phone number, you consent to receive operational, transactional, and service-related communications from SYMMA, including SMS messages.

  • Message frequency may vary

  • Message and data rates may apply

  • You may opt out of SMS at any time by replying STOP

SYMMA does not send unsolicited marketing SMS messages without explicit consent.

9. Intellectual Property

All content, systems, software, trademarks, logos, and materials provided by SYMMA are the property of SYMMA Solutions or its licensors.

You may not:

  • Copy, modify, distribute, or reverse engineer any materials

  • Use SYMMA branding without prior written consent

All rights not expressly granted are reserved.

10. Confidentiality

Users may gain access to confidential or proprietary information belonging to SYMMA or other parties.

You agree to:

  • Use such information solely for authorized purposes

  • Protect it from unauthorized disclosure

  • Return or destroy confidential information upon request

11. Data Protection & Privacy

Your use of SYMMA services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information.

By using our services, you consent to data practices outlined in the Privacy Policy.

12. Service Availability & Modifications

Services are provided “as is” and “as available.”

SYMMA does not guarantee:

  • Uninterrupted or error-free operation

  • Compatibility with all devices or systems

  • Continuous availability of specific features

We may modify, suspend, or discontinue services at any time without liability.

13. Disclaimer of Warranties

To the maximum extent permitted by law:

  • Services are provided without warranties of any kind

  • SYMMA disclaims all implied warranties, including merchantability and fitness for a particular purpose

Use of the services is at your own risk.

14. Limitation of Liability

SYMMA Solutions shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of data, profits, or business opportunities

  • Unauthorized access beyond reasonable security controls

Total liability, if any, shall not exceed the amount paid to SYMMA in the preceding twelve (12) months.

15. Indemnification

You agree to indemnify and hold harmless SYMMA Solutions from any claims, damages, losses, or expenses arising from:

  • Your use of the services

  • Violation of these Terms

  • Breach of applicable laws or agreements

16. Termination

SYMMA may suspend or terminate access:

  • For violations of these Terms

  • For security or compliance reasons

  • At its sole discretion

Termination does not relieve you of obligations accrued prior to termination.

17. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

18. Changes to Terms

SYMMA may update these Terms from time to time. Continued use of services after changes constitutes acceptance of the revised Terms.
